Terms of Service

These Terms of Service ("Terms") govern your access to and use of Snapkey, a digital business card platform operated by Antimatter Software LLC ("Antimatter," "we," "us," or "our"). By creating an account or using Snapkey in any way, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old and legally able to form a binding contract to use Snapkey. By using the Service you represent that you meet these requirements. If you are using Snapkey on behalf of a company or brokerage, you represent that you are authorized to bind that entity to these Terms.

2. Your Account

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at isaac@antimattersoftware.dev if you suspect unauthorized access.

You must provide accurate, current, and complete information when creating your account and keep it up to date. We reserve the right to suspend or terminate accounts with false or misleading information.

3. Subscriptions and Payment

Certain features of Snapkey require a paid subscription. By subscribing you authorize us to charge the payment method on file on a recurring basis at the then-current rate. Subscriptions renew automatically unless cancelled before the renewal date.

All fees are in US dollars and are non-refundable except as required by applicable law or as otherwise stated in a written agreement. We may change pricing with 30 days' notice; continued use after the price change takes effect constitutes acceptance.

4. Acceptable Use

You agree not to use Snapkey to:

  • Violate any applicable law, regulation, or third-party right
  • Send spam, unsolicited commercial messages, or bulk messages to leads who have not opted in
  • Impersonate another person or misrepresent your affiliation with any entity
  • Upload or transmit malware, viruses, or any malicious code
  • Attempt to access accounts, systems, or data you are not authorized to access
  • Scrape, crawl, or extract data from the platform without written permission
  • Circumvent or disable any security, rate-limiting, or access-control feature
  • Use the Service in any way that could damage, overload, or impair Snapkey's infrastructure

5. Lead Data and Agent Responsibility

When leads submit contact information through your Snapkey card, that data belongs to you, the agent. You are solely responsible for how you use, store, and communicate with those leads, including compliance with the CAN-SPAM Act, TCPA, and any other applicable federal or state law governing marketing and communications.

You must obtain and document consent before sending marketing messages. You must honor opt-out requests promptly. Snapkey provides tools to assist with consent management but does not guarantee your legal compliance.

6. SMS Communications

Snapkey may send automated SMS messages to leads on your behalf. By enabling SMS features you represent that:

  • You have obtained proper written consent from each recipient as required by the TCPA
  • You will honor STOP requests immediately and retain records of consent
  • You will not use Snapkey SMS to send spam, deceptive content, or unlawful messages

We reserve the right to disable SMS features for any account that violates these requirements or generates excessive complaints.

7. Intellectual Property

Snapkey and all related trademarks, logos, designs, and technology are owned by Antimatter Software LLC. Nothing in these Terms grants you any license to use our brand assets or intellectual property outside of the normal operation of the Service.

You retain ownership of content you upload (headshots, listing photos, brokerage information). By uploading content you grant us a limited, non-exclusive, worldwide license to store, display, and transmit that content as necessary to operate Snapkey.

8. Third-Party Services

Snapkey relies on third-party infrastructure including Supabase (database and auth), Vercel (hosting), and SMS and payment providers. We are not responsible for the availability, performance, or practices of these providers. Your use of Snapkey is subject to their respective terms of service.

9. Disclaimers

SNAPKEY IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ANTIMATTER SOFTWARE LLC AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE SNAPKEY.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $100 USD.

11. Indemnification

You agree to indemnify and hold harmless Antimatter Software LLC and its officers, employees, and agents from any claims, losses, liabilities, damages, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party right.

12. Termination

You may terminate your account at any time by contacting us. We may suspend or terminate your account immediately if you violate these Terms, if required by law, or if we reasonably believe your use poses a risk to other users or the platform.

Upon termination, your right to use Snapkey ceases. Provisions that by their nature should survive (including payment obligations, intellectual property, disclaimers, limitation of liability, and governing law) will survive.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California without regard to conflict-of-law principles. Any dispute arising from these Terms or the Service will be resolved exclusively in the state or federal courts located in California, and you consent to personal jurisdiction in those courts.

14. Changes to These Terms

We may modify these Terms at any time. When we do, we will update the effective date and notify account holders by email for material changes. Continued use of Snapkey after the revised Terms take effect constitutes your acceptance.
